THE FALLING CLASS WORKSHOP PARTICIPANT AGREEMENT, ASSUMPTION OF RISK, RELEASE OF LIABILITY, AND ARBITRATION AGREEMENT

PLEASE READ CAREFULLY. THIS AGREEMENT AFFECTS YOUR LEGAL RIGHTS. BY SIGNING THIS AGREEMENT, YOU ARE WAIVING CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE.

This Agreement is entered into by and between Atlanta Judo Midtown LLC ("AJM"), located at 2213 Faulkner Rd NE, Atlanta, Georgia 30324, and the undersigned participant ("Participant").

PARTICIPANT ELIGIBILITY AND HEALTH ACKNOWLEDGMENT

The Falling Class Workshop is designed for adults who are capable of participating in physical activity involving movement, balance exercises, floor transfers, and safe-falling instruction.

By signing this Agreement, Participant certifies and acknowledges that:

a. Participant is able to independently move from a seated or lying position on the floor to a standing position without physical assistance from another person.

b. Participant understands that the ability to get up from the floor without assistance is a required condition of participation.

c. Participant understands that AJM does not assess, test, verify, monitor, or evaluate Participant's physical fitness, mobility, balance, bone health, medical condition, fall risk, or ability to safely participate.

d. Participant is solely responsible for determining whether participation is appropriate based on Participant's own physical condition and capabilities.

e. Participant understands that AJM recommends consulting a physician or other qualified healthcare provider before participating if Participant has any questions or concerns regarding health, fitness, mobility, balance, or medical conditions.

f. Participant understands that AJM, its instructors, employees, and agents are not physicians, physical therapists, nurses, or healthcare providers, and that no instruction, recommendation, demonstration, or statement made by AJM constitutes medical advice.

DESCRIPTION OF ACTIVITIES

For purposes of this Agreement, the term "Activities" includes participation in The Falling Class Workshop and all related activities, including but not limited to:

• balance exercises;
• movement drills;
• mobility exercises;
• floor transfers;
• controlled descents to the ground;
• safe-falling instruction;
• demonstrations;
• mat exercises;
• instructor-assisted movement;
• spotting;
• physical guidance;
• hands-on coaching;
• warm-up exercises; and
• any related instructional activities conducted by AJM.

ACKNOWLEDGMENT AND ASSUMPTION OF RISK

Participant understands and acknowledges that participation in the Activities involves inherent risks that cannot be eliminated regardless of the care taken by AJM.

Participant understands that such risks include, but are not limited to:

• slips, trips, and falls;
• loss of balance;
• impact with mats, floors, equipment, walls, or other participants;
• bruises, cuts, and abrasions;
• muscle strains and sprains;
• joint injuries;
• fractures and broken bones;
• dislocations;
• head injuries;
• concussion or traumatic brain injury;
• aggravation of known or unknown medical conditions;
• cardiovascular events;
• permanent disability; and
• death.

Participant further understands that injuries may occur despite instruction, supervision, spotting, physical assistance, safety precautions, and adherence to program guidelines.

Participant knowingly, voluntarily, and expressly assumes all risks of participation in the Activities, whether known or unknown, foreseeable or unforeseeable, and whether caused by Participant, another participant, AJM, or otherwise.

CONSENT TO PHYSICAL CONTACT

Participant understands and agrees that AJM instructors may provide physical contact during participation in the Activities.

Participant expressly consents to physical contact by AJM instructors for purposes including instruction, demonstration, spotting, balance assistance, movement guidance, safety, emergency response, and other activities reasonably related to participation in the workshop.

Participant voluntarily assumes all risks associated with such physical contact.

RELEASE OF LIABILITY AND COVENANT NOT TO SUE

To the fullest extent permitted by Georgia law, Participant hereby releases, waives, discharges, and covenants not to sue Atlanta Judo Midtown LLC, its owners, members, managers, instructors, assistant instructors, employees, agents, representatives, affiliates, landlords, successors, assigns, and insurers (collectively, the "Releasees") from and against any and all claims, demands, causes of action, damages, losses, liabilities, costs, and expenses arising from or related to participation in the Activities.

This release includes, without limitation, claims arising from:

• instruction;
• demonstrations;
• supervision;
• spotting;
• physical assistance;
• movement guidance;
• facility conditions;
• equipment;
• premises conditions; and
• THE ORDINARY NEGLIGENCE OF THE RELEASEES.

Participant understands that this release applies to claims for personal injury, bodily injury, illness, property damage, disability, wrongful death, and any other loss or damage arising from participation in the Activities.

INDEMNIFICATION

Participant agrees to defend, indemnify, and hold harmless the Releasees from and against any and all claims, liabilities, damages, costs, expenses, and attorneys' fees arising from Participant's actions, conduct, or participation in the Activities to the fullest extent permitted by law.

MEDICAL AUTHORIZATION

In the event of injury, illness, accident, or medical emergency, Participant authorizes AJM and its representatives to seek emergency medical care on Participant's behalf if deemed necessary.

Participant understands that AJM assumes no responsibility for medical treatment provided and agrees to be solely responsible for all medical expenses, ambulance charges, hospital costs, rehabilitation expenses, and other related costs.

PARTICIPANT RESPONSIBILITIES

Participant agrees to:

a. Follow all instructor directions and safety instructions.

b. Immediately stop participation and notify an instructor if experiencing pain, dizziness, lightheadedness, chest discomfort, shortness of breath, loss of balance, weakness, or any condition that may make continued participation unsafe.

c. Notify AJM staff of any condition Participant believes may create an unsafe environment.

AJM reserves the right to remove any participant from the workshop if AJM determines participation may present a safety risk.

PHOTO, VIDEO, AND PUBLICITY RELEASE

Participant grants AJM the irrevocable and unrestricted right to photograph, videotape, record, reproduce, publish, display, edit, modify, distribute, and otherwise use Participant's name, image, likeness, voice, and appearance in any media now known or later developed for promotional, advertising, educational, marketing, social media, website, public relations, and business purposes.

Participant waives any right to inspect or approve such materials and understands that no compensation will be provided for such use.

All rights, title, and interest in such materials shall belong exclusively to AJM.

ARBITRATION AGREEMENT AND WAIVER OF JURY TRIAL

Any dispute, claim, or controversy arising out of or relating to this Agreement or Participant's participation in the Activities shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules.

The arbitration shall take place in Fulton County, Georgia.

Participant and AJM waive any right to a jury trial.

Participant and AJM agree that any claim shall be brought solely in an individual capacity and not as part of any class action, collective action, representative action, or mass proceeding.

Nothing herein shall prevent either party from seeking temporary injunctive relief in a court of competent jurisdiction when necessary to preserve rights pending arbitration.

LIMITATION PERIOD

To the fullest extent permitted by law, any claim arising out of or relating to the Activities must be brought within one (1) year from the date of the event giving rise to the claim. Any claim not brought within that period shall be forever barred.

GOVERNING LAW

This Agreement shall be governed by and interpreted under the laws of the State of Georgia.

SEVERABILITY

If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between Participant and AJM regarding participation in the Activities.

Participant acknowledges that no oral statements, advertisements, brochures, websites, social media content, demonstrations, or other representations have modified the terms of this Agreement.

BINDING EFFECT

This Agreement shall be binding upon Participant and Participant's heirs, estate, personal representatives, successors, assigns, next of kin, spouse, and anyone asserting claims on Participant's behalf.

ACKNOWLEDGMENT OF UNDERSTANDING

BY SIGNING THIS AGREEMENT, PARTICIPANT ACKNOWLEDGES THAT:

• PARTICIPANT CAN INDEPENDENTLY GET UP FROM THE FLOOR WITHOUT ASSISTANCE.

• AJM DOES NOT EVALUATE OR VERIFY PARTICIPANT'S MEDICAL CONDITION, FITNESS LEVEL, BALANCE, OR ABILITY TO PARTICIPATE.

• THE WORKSHOP INVOLVES INTENTIONAL FALLING, FLOOR MOVEMENT, PHYSICAL CONTACT, SPOTTING, AND INSTRUCTOR-ASSISTED EXERCISES.

• SERIOUS INJURY, INCLUDING FRACTURES, CONCUSSION, PERMANENT DISABILITY, AND DEATH, MAY OCCUR.

• PARTICIPANT VOLUNTARILY ASSUMES ALL RISKS OF PARTICIPATION.

• PARTICIPANT RELEASES THE RELEASEES FROM LIABILITY FOR CLAIMS ARISING FROM THE ORDINARY NEGLIGENCE OF THE RELEASEES TO THE FULLEST EXTENT PERMITTED BY LAW.

• PARTICIPANT HAS CAREFULLY READ THIS AGREEMENT, UNDERSTANDS ITS TERMS, AND SIGNS IT VOLUNTARILY.
